Cancellation Policy

1. Overview
This Cancellation Policy explains how you can cancel subscriptions and stop future charges for products and services provided by Sun Cluster Inc. ("Sun Cluster", "we", "our", or "us"). It also explains how cancellations work for custom software engineering engagements.
Sun Cluster Inc. is a Canadian software engineering company located at 1338 Wellington Street West, Unit 10, Ottawa, Ontario, K1Y 3B7, Canada. We provide custom software development and single-client deployments of a private trading web application (the "Trading Desk App"). We are not a broker, dealer, or investment adviser, and we do not take custody of client funds.
2. What This Policy Covers
- Product subscriptions (monthly or annual) for hosted or supported software, including the Trading Desk App subscription.
- Maintenance and support retainers billed on a recurring basis.
- Custom projects and statements of work (SOWs) that may be billed by milestones or time-and-materials.
3. Cancelling a Subscription (Stop Future Renewals)
3.1 When you can cancel
You can cancel your subscription at any time to prevent future renewals. Your subscription will remain active until the end of the current paid billing period unless your order form states otherwise.
To avoid being charged for the next billing period, submit your cancellation request before your renewal date. As a practical guideline, we recommend canceling at least 24 hours before renewal; some payment systems may require time to process changes.
3.2 How to cancel
You can cancel in either of the following ways:
- If your account includes a self-serve billing portal: use the cancellation option in the portal (if available).
- Email us at contact@suncluster.ca from the email address associated with the subscription and include the company/name, subscription name, and requested cancellation date.
We will confirm your cancellation by email. We aim to make cancellation straightforward and no harder than subscribing.
3.3 What happens after you cancel
- You will not be charged again after the subscription is cancelled (subject to any remaining contract term stated in an order form).
- You can continue using the subscription until the end of the current billing period unless access is terminated earlier for a material breach of our Terms.
- Unless required by law or stated in a written agreement, we do not provide refunds for partial billing periods. See our Refund Policy for details.
4. Cancelling a Custom Project or Statement of Work (SOW)
Custom software engineering projects are typically governed by a written SOW, proposal, or order form. Cancellation of a custom project is handled as follows, unless your SOW states different terms:
- You may cancel a project by emailing contact@suncluster.ca with written notice.
- You are responsible for fees for work completed up to the effective cancellation date, including any non-cancellable commitments (e.g., reserved engineering capacity, third-party costs you approved).
- If you cancel after work has started, deposits and kickoff fees are generally non-refundable, and completed milestones remain payable.
We will provide a status summary and, where reasonable, deliver any completed work-in-progress materials that have been paid for.
5. Downgrades, Pauses, and Plan Changes
If you want to downgrade, pause, or change a subscription plan, contact us at contact@suncluster.ca. Changes may take effect at the next renewal date unless we agree otherwise in writing.
6. Termination by Sun Cluster
We may suspend or terminate Services if you materially breach our Terms of Service, misuse the Services, attempt unauthorized access, or fail to pay fees when due. Where reasonable, we will provide notice and an opportunity to cure before termination.
7. Statutory and Consumer Rights
Some customers may have rights under applicable consumer protection laws (including in Ontario) that cannot be waived, such as certain cancellation rights in specific circumstances. Nothing in this policy limits your non-waivable statutory rights.
